These Terms of Service ('Terms') govern your access to and use of the ShowTrak Portal web application and any related mobile applications (collectively, the 'Services') operated by ShowTrak ('we', 'us', or 'our').
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access the Services.
To use certain features of the Services, you must register for an account. When you register, you agree to:
You must be at least 18 years of age, or the equivalent minimum age in your jurisdiction, to create an account and use the Services. We reserve the right to suspend or terminate accounts that we reasonably believe violate these Terms.
We grant you a limited, non-exclusive, non-transferable, and revocable licence to access and use the Services for your personal or internal business purposes, subject to these Terms.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Services complies with all applicable laws and regulations.
You retain ownership of any content you create, upload, or submit through the Services ('User Content'), including but not limited to show reports, timings, announcements, to-do items, documents, and profile information.
By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free licence to use, store, reproduce, and display your User Content solely for the purpose of operating and providing the Services to you and your collaborators.
You represent and warrant that you own or have the necessary rights and permissions to submit your User Content and that it does not infringe upon the rights of any third party.
The Services, including all associated software, design, text, graphics, logos, icons, and other materials (excluding User Content), are the property of ShowTrak or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Nothing in these Terms grants you any right, title, or interest in the Services or our intellectual property, except for the limited licence described in Section 2.
When using the Services, you agree not to:
You may terminate your account at any time by contacting us or using the account deletion feature within the Services.
We may suspend or terminate your account and access to the Services at our sole discretion, without prior notice, for conduct that we believe violates these Terms, is harmful to other users or third parties, or for any other reason we deem appropriate.
Upon termination, your right to use the Services will immediately cease. We may delete your account data in accordance with our Privacy Policy.
The Services are provided on an 'as is' and 'as available' basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. You use the Services at your own risk.
To the fullest extent permitted by applicable law, ShowTrak and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your access to or use of (or inability to access or use) the Services.
In no event shall our total aggregate liability exceed the amount you have paid us, if any, in the twelve (12) months preceding the event giving rise to the liability, or one hundred pounds sterling (£100), whichever is greater.
You agree to indemnify, defend, and hold harmless ShowTrak and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Services, your User Content, your violation of these Terms, or your violation of any rights of a third party.
The Services may contain links to third-party websites or services that are not owned or controlled by ShowTrak. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of any such third-party content, goods, or services.
We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
We may update these Terms from time to time. When we do, we will revise the 'Last updated' date at the top of this page. If we make material changes, we may notify you by prominently posting a notice or by sending you a notification.
Your continued use of the Services after any changes to these Terms constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in England and Wales, and you consent to the personal jurisdiction and venue of such courts.
In the event of any dispute arising out of or in connection with these Terms, you agree to first attempt to resolve the dispute informally by contacting us. We will endeavour to resolve the matter within thirty (30) days.
If the dispute is not resolved informally, either party may pursue formal proceedings in accordance with the governing law set out in Section 13.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
